COLOR WALLET – TERMS & CONDITIONS

1. Acceptance of Terms

By downloading, installing, accessing, or using the Color Wallet mobile application (“App”) or any related content, features, or services (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you must discontinue use of the Services.

If you use the Services on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.

2. Description of the Services

Color Wallet provides digital styling and color analysis tools, including:

• Customized digital color palettes
• A camera-based tool for identifying and matching colors
• Styling, shopping, and makeup recommendations
• Optional paid subscription features
• Chat-based access to human Experts
• Educational content and third-party integrations

Color Wallet does not provide medical, dermatological, psychological, legal, or professional licensed advice.

3. Eligibility

The Services are intended for users who are 18 years of age or older.

4. Account Registration

You may be required to create an account to access certain features. You agree to:

• Provide accurate and current registration information
• Safeguard your username and password
• Notify us immediately of unauthorized account access

You are responsible for all activities that occur under your account.

5. Subscriptions, Billing, Renewals & Cancellation

5.1 Subscription Billing

Some Services require a paid subscription (“Premium”). By subscribing, you authorize Color Wallet and our third-party payment processors to charge your selected payment method.

5.2 Automatic Renewal

Subscriptions automatically renew unless canceled at least 24 hours before the renewal date.

5.3 Cancellation Policy

You may cancel at any time through your App Store or Google Play account settings. Canceling stops future billing but does not trigger a refund. After cancellation, you retain Premium access until your current billing cycle ends.

5.4 Refund Policy

All sales are final. No refunds are issued for subscription fees or any other in-app purchases, except where required by applicable law.

6. Expert Messaging & Educational Guidance

Premium users may access human Experts for color-related educational guidance. You acknowledge that:

• Expert input is informational only and is not professional, licensed, or certified advice.
• Experts are independent contractors, not employees of Color Wallet.
• Color Wallet is not responsible for your actions or decisions based on Expert recommendations.

7. User Conduct

You agree not to:

• Use the App for illegal or harmful activities
• Upload malicious code or attempt unauthorized system access
• Reverse-engineer, modify, or attempt to extract source code
• Harass Experts or misuse the messaging features
• Infringe on the intellectual property rights of Color Wallet or others

Violation may result in account suspension or termination.

8. License to Use the App

Subject to these Terms, Color Wallet grants you a limited, revocable, non-exclusive, non-transferable license to use the App solely for personal, non-commercial purposes. You may not:

• Copy, reproduce, or distribute the App
• Sell, sublicense, or commercially exploit the App
• Modify or create derivative works of the App

9. Apple App Store Licensed Application End User Agreement (EULA)

If you downloaded the App from the Apple App Store, you acknowledge:

• These Terms are between you and Color Wallet, not Apple.
• Apple is not responsible for the App or its content.
• Apple has no obligation to provide support or maintenance.
• Apple provides no warranties for the App.
• Color Wallet—not Apple—is responsible for addressing any claims relating to:
  • Product liability
  • Failure to comply with legal requirements
  • Intellectual property infringement claims
• You must comply with applicable third-party terms (e.g., wireless data agreements).
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

10. Intellectual Property

All content within the App—including text, images, software code, design elements, branding, and proprietary color analysis systems—is owned by MAPM Consulting, LLC d/b/a Color Wallet or its licensors. You are not granted any rights to this intellectual property except the limited license described in Section 8.

11. User Content

If you upload content (e.g., photos, profile data, messages) to the App, you grant Color Wallet a non-exclusive, worldwide, royalty-free license to use, store, and process it solely to operate and improve the Services.

You represent and warrant that:

• You own or have the necessary rights to your content
• Your content does not violate any third-party rights or laws

12. Third-Party Services

The App may contain links to or integrations with third-party services. Color Wallet is not responsible for:

• Third-party content
• Third-party products or services
• Third-party privacy practices or terms

Your interactions with third parties are solely between you and those third parties.

13. Modifications & Updates

We may modify, update, or discontinue parts of the Services at any time. This may require updates to your device or operating system. Color Wallet is not liable if updates or changes impact functionality or require additional hardware/software.

14. Termination

Color Wallet may suspend or terminate your account or access to the Services if:

• You violate these Terms
• Fraudulent or harmful activity is detected
• The Services are discontinued

Upon termination, your license to use the App ends immediately.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND.

Color Wallet does not guarantee:

• Accuracy or precision of color readings
• Compatibility across all devices or operating systems
• Error-free or uninterrupted service
• Any results from Expert guidance or recommendations

Use the Services at your own risk.

16. Limitation of Liability

To the fullest extent permitted by law:

• Color Wallet, MAPM Consulting, LLC, its owners (including Mariana Avila de Paiva Marques), employees, contractors, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
• Total liability for any claim shall not exceed the amount you paid in the 12 months prior to such claim, or $50 if you haven't made any payments.

Some jurisdictions do not allow certain exclusions; in such cases, the minimum legally required limits apply.

17. Indemnification

You agree to indemnify, defend, and hold harmless Color Wallet from all claims, liabilities, damages, losses, and expenses arising out of:

• Your use or misuse of the Services
• Your violation of these Terms
• Your interaction with Experts or third parties through the App

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any legal actions or proceedings must be brought in the state or federal courts of Miami-Dade County, Florida.

19. Changes to These Terms

Color Wallet may update or revise these Terms at any time. Updated Terms will be posted within the App and/or on color-wallet.com with a new “Last Updated” date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

21. Entire Agreement
